Digital Product License Agreement

1. Definitions

• "Fabrication" means the process of creating a physical item from the Licensed Materials using any manufacturing method, including but not limited to CNC machining, plasma cutting, laser cutting, waterjet cutting, 3D printing, or any other production technique.
• "Licensed Materials" means the digital files, designs, blueprints, DXF files, and related content purchased from DirtBound®.
• "Licensee" means you, the purchaser of the Licensed Materials.
• "Personal Use" means creating items for yourself, family members, or as gifts - not for sale or commercial purposes.
• "Commercial Use" means creating items for sale, trade, or any business purpose.

2. License Types

Upon purchase, DirtBound® by Up North Supply Co. ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable license to use the purchased digital files ("Licensed Materials"). The specific rights granted depend on the license type indicated on the product page:

3. Ownership & Intellectual Property

All Licensed Materials remain the exclusive property of DirtBound® and/or the original designer. This license does not transfer any ownership rights, copyrights, patents, trademarks, or other intellectual property rights to the Licensee.

The Licensed Materials are protected by United States and international copyright laws. Unauthorized use, reproduction, or distribution constitutes copyright infringement and will be prosecuted to the fullest extent of the law.

4. Prohibited Uses (All License Types)

• Sharing or Distributing: Sharing, distributing, uploading, or making the Licensed Materials available to any third party, whether for free or for sale, including but not limited to file sharing sites, torrent networks, social media, or any online platform
• Reselling Digital Files: Selling, sublicensing, renting, leasing, or otherwise transferring the Licensed Materials or any rights therein to any third party
• Modification for Redistribution: Modifying, adapting, or creating derivative works from the Licensed Materials for the purpose of redistribution or resale as digital products
• Removing Identification: Removing, altering, or obscuring any copyright notices, watermarks, fingerprints, or other proprietary notices contained in the Licensed Materials
• Commercial Template Use: Using the Licensed Materials as a template or basis for creating competing digital products
• Circumvention: Attempting to bypass, disable, or circumvent any license restrictions, access controls, or protective measures associated with the Licensed Materials

5. Identification & Tracking

Licensed Materials may contain identifiers or metadata to help detect unauthorized distribution. If Licensed Materials are found being distributed or shared without authorization, the responsible Licensee will be held liable for all resulting damages.

6. Violation & Enforcement

Violation of this License Agreement will result in:

• Immediate License Termination: All licenses granted to you will be immediately revoked
• Account Termination: Your account will be permanently terminated without refund
• Legal Action: We reserve the right to pursue all available legal remedies, including but not limited to claims for copyright infringement, breach of contract, and damages
• Statutory Damages: Statutory damages for willful infringement under U.S. law can be significant
• Legal Fees: You will be responsible for all attorney fees and costs incurred in enforcing this agreement

7. Disclaimer of Warranties

THE LICENSED MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Licensed Materials will meet your requirements, that fabricated items will be free of defects, or that the designs are suitable for any particular application. You assume all risks associated with the use of the Licensed Materials and any items fabricated therefrom.

8. Limitation of Liability

IN NO EVENT SHALL DIRTBOUND®, UP NORTH SUPPLY CO., OR ANY AFFILIATED DESIGNERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE LICENSED MATERIALS, INCLUDING BUT NOT LIMITED TO:

• Personal injury or death
• Property damage
• Loss of profits or revenue
• Equipment damage or failure
• Any damages resulting from fabrication or use of physical items

Our total liability shall not exceed the amount you paid for the specific Licensed Materials giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless DirtBound®, Up North Supply Co., their officers, directors, employees, agents, and designers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to your use of the Licensed Materials, your breach of this Agreement, or any physical items you fabricate using the Licensed Materials.

10. Term & Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Licensed Materials in your possession.

11. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Minnesota, and the parties hereby consent to personal jurisdiction and venue therein.

12. Entire Agreement

This License Agreement, together with our Terms of Service, constitutes the entire agreement between you and DirtBound® regarding the Licensed Materials and supersedes all prior agreements, understandings, and communications, whether written or oral.
